1. Acceptance of Terms

By accessing or using WorkWiz ("the Service"), operated by WorkWiz Inc. ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

WorkWiz is an AI-powered project management platform that helps teams plan, track, and deliver work. The Service includes task management, project tracking, client management, proposal generation, AI assistant features, team collaboration, and third-party integrations.

We offer free and paid subscription plans. Features and limitations vary by plan as described on our pricing page.

3. Account Registration

To use WorkWiz, you must create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain and update your information to keep it accurate.
• Keep your password secure and confidential.
• Be responsible for all activity that occurs under your account.
• Notify us immediately of any unauthorized use of your account.

You must be at least 16 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Content

You retain ownership of all content you create, upload, or share through WorkWiz ("User Content"), including tasks, projects, proposals, comments, and files.

By using the Service, you grant WorkWiz a limited, non-exclusive license to host, store, process, and display your User Content solely to provide and improve the Service. This license terminates when you delete your content or close your account.

You are responsible for ensuring your User Content does not:

• Violate any applicable law or regulation.
• Infringe on the intellectual property rights of others.
• Contain malicious code, viruses, or harmful content.
• Include content that is defamatory, harassing, or discriminatory.

5. AI Features

WorkWiz includes AI-powered features that generate suggestions, summaries, and recommendations based on your content. By using these features, you acknowledge that:

• AI outputs are generated suggestions, not professional advice. You are responsible for reviewing and verifying AI-generated content before acting on it.
• Your content may be processed by third-party AI providers (OpenAI, Anthropic, Google, Zhipu) under strict data processing agreements.
• AI providers are contractually prohibited from using your data to train their models.
• AI features may not always be accurate, complete, or appropriate for your specific use case.
• You may disable AI features at any time from your account settings.

6. Subscription and Payments

Paid plans are billed monthly or annually as selected at the time of purchase. All payments are processed securely through Stripe.

• Billing cycle: subscriptions renew automatically at the end of each billing period unless cancelled.
• Price changes: we will provide at least 30 days' notice before increasing prices for existing subscribers.
• Cancellation: you may cancel your subscription at any time from your account settings. You will retain access until the end of your current billing period.
• Refunds: we offer a 14-day money-back guarantee on first-time annual subscriptions. Monthly subscriptions are non-refundable after the billing period begins.
• Downgrade: when downgrading to a free plan, features exceeding free-tier limits will become read-only until content is reduced to within limits.

7. Acceptable Use

You agree not to use WorkWiz to:

• Violate any applicable law, regulation, or these Terms.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Interfere with or disrupt the Service or servers connected to it.
• Use automated tools (bots, scrapers, crawlers) without our written permission.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service for competitive analysis or to build a competing product.
• Transmit spam, phishing attempts, or unsolicited communications.
• Attempt to circumvent usage limits, rate limits, or security measures.

8. Intellectual Property

WorkWiz and its original content (excluding User Content), features, and functionality are owned by WorkWiz Inc. and are protected by international copyright, trademark, and other intellectual property laws.

The WorkWiz name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of WorkWiz Inc. You may not use these marks without our prior written permission.

9. Third-Party Integrations

WorkWiz integrates with third-party services (Google, Microsoft, Slack, Notion, Stripe). Your use of these integrations is subject to the respective third party's terms of service and privacy policy.

We are not responsible for the availability, accuracy, or practices of third-party services. You may disconnect integrations at any time from your settings.

10. Client Portals and Shared Links

WorkWiz allows you to share projects, proposals, and price lists via portal links. You are responsible for:

• The content you share through portal links.
• Ensuring you have the right to share the content with recipients.
• Managing access to your shared links (you can revoke access at any time).

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for maintenance, updates, or security reasons. We will provide reasonable advance notice of planned downtime when possible.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORKWIZ INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use of or inability to use the Service.
• Any unauthorized access to or alteration of your content.
• Statements or conduct of any third party on the Service.
• AI-generated content or recommendations.
• Any other matter relating to the Service.

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

14. Indemnification

You agree to indemnify and hold harmless WorkWiz Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.

15. Termination

You may close your account at any time from your account settings. We may suspend or terminate your account if you violate these Terms or engage in conduct that we determine is harmful to other users, us, or third parties.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after account closure, after which it will be permanently deleted.

16. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in San Francisco County, California.

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a notice in the application at least 30 days before changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
